Southern Credit Banking Corporation v Salim Manji & Another
The bottom line
#Kenya's Court of Appeal ruled that a bare allegation of breach is not enough to stop a bank selling charged property; courts must examine the actual evidence first.
What this practically means
#Executive summary
#Questions the Court framed
#The issues the Court set itself to decide, in its own words.
- 1.Whether the learned judge misdirected himself in holding that a mere allegation of breach of the agreement was alone sufficient to grant an interlocutory injunction
- 2.Whether on a true construction of the mortgage, the security covered only the secured overdraft account or extended to credit and other facilities including the fixed term loan
- 3.Whether the respondents demonstrated an arguable case with a probability of success and irreparable loss to justify the interlocutory injunction
Key legal issues
#Test for interlocutory injunction - evaluation of evidence
A bare allegation of breach is not a sufficient condition for granting an injunction; the judge must examine the supporting evidence and assess whether the allegation has a reasonable probability of being established
The Court of Appeal applied the Giella v Cassman Brown test and held Osiemo J misdirected himself by treating the applicants' mere allegation of breach as sufficient. The judge never examined the evidence or assessed probability of success, a process the appellate court found essential before granting an interim injunction.
Construction of the mortgage - scope of security
The expression 'the Revolving Overdraft' was defined to include credit and other facilities in addition to a revolving overdraft, so the mortgage secured the converted term loan
Recital (2) of the Mortgage defined the Revolving Overdraft as revolving overdraft, credit and other facilities, and Clause 1(b) defined Mortgage Debt by reference to that definition. The court held it was not arguable that the Mortgage Debt excluded the fixed term loan account created on conversion of the overdraft.
Whether power of sale had arisen
The power of sale had arisen; the respondents failed to show an arguable case that the mortgage did not cover the debt due by House of Manji
The conversion of the overdraft into a term loan did not release the security. The court found the respondents' contention that no monies were outstanding under the secured overdraft account irrelevant, since the mortgage secured the restructured debt, and the borrower had confirmed the loan remained secured by the property.
Legal principles established
#- Before granting an interim injunction on the basis of an alleged breach, the court must examine the evidence supporting the allegation and consider whether it has a reasonable probability of being established
- On a true construction of the mortgage documents, the defined 'Revolving Overdraft' included credit and other facilities, so the mortgage secured the term loan debt

It is clearly necessary that before finding that an interim injunction should be granted the Judge should examine the evidence supporting such an allegation before relying on it as one of the grounds for the granting of the interim injunction.
it is not arguable, with a probability of success, that the Mortgage Debt as so defined excludes credit and other facilities, which are not an overdraft account such as a fixed loan account.
We hereby allow the appeal and set aside the injunction and orders granted by Osiemo J. on 6th June 2002 in High Court Civil Case No 515 of 2002 and substitute thereto for an order dismissing the Chamber Summons application dated 26th April 2002 with costs.
