Eastern Produce (K) Ltd (Sitoi Estate) v Shadrack Muguna Navade
The bottom line
#Kenya's Employment Court ruled that years of service on repeated fixed-term contracts do not make a worker permanent, so non-renewal at expiry is not unfair termination.
What this practically means
#Executive summary
#Questions the Court framed
#The issues the Court set itself to decide, in its own words.
- 1.Whether the trial court erred in its finding on the nature of the Respondent's employment
- 2.Whether the Respondent's employment ended through the expiry of a fixed-term contract or by unfair termination
- 3.Whether the reliefs awarded were justified
Key legal issues
#Nature of the Respondent's employment
The Respondent was a fixed-term contract employee, not permanent and pensionable; the trial court's inference from length of service was erroneous.
The documentary evidence showed successive written appointments and a fixed-term contract. Lengthy service established a longstanding relationship but, absent evidence of variation, did not confer permanent status. Section 37 on conversion of casual employment was inapplicable since the case concerned written fixed-term contracts, not casual conversion.
Expiry of fixed-term contract versus unfair termination
The employment ended by lawful expiry of the final fixed-term contract on 31st August 2020, not by unfair termination or redundancy.
The grievance letter of 10th September 2020 did not communicate dismissal or misconduct allegations, so section 41 safeguards were not triggered. RW1's reference to lack of work explained non-renewal but did not prove termination of an existing contract on account of redundancy under section 40. No evidence showed early termination or continued work past the expiry date.
Justification of the reliefs awarded
None of the four awards was justified; all were set aside.
Notice pay failed because the contract ended on its agreed date with no notice term for non-renewal; severance requires redundancy under section 40 which was not established; compensation under section 49 requires a finding of unfair termination; and pay slips and the contract showed leave was accrued at 2 days per month and paid, so leave dues were not owing.
Legal principles established
#- Length of service under successive fixed-term contracts does not convert the employment into permanent and pensionable employment.
- Non-renewal of a fixed-term contract on its expiry date is not unfair termination, and lack of work as a reason for non-renewal does not amount to redundancy under section 40 of the Employment Act.

- 4.The entire judgment of the Trial Court is set aside and substituted with an order dismissing the suit
- 5.Each party shall bear its own costs of the appeal

Quotable passages
#Verbatim from the judgment, each located to the page it appears on in the official PDF — so these can be cited and checked directly.
I therefore find that the Respondent's length of service and successive appointments did not convert his fixed-term employment into permanent and pensionable employment.
Successive contracts do not automatically confer permanent and pensionable status.
The existence of insufficient work may explain an employer's decision not to offer another contract after a fixed term expires.
Having found as above, I set aside the entire judgment of the Trial Court and substitute therewith an order dismissing the suit.
Each party shall bear its own costs of the appeal.
Issues in the judgment
#Submissions dated 2026 ('9th June 2026' and '19th May 2026') appear inconsistent with an appeal filed in 2023 and judgment in 2026.
Ground of appeal refers to awarding 'the Appellant' damages where the Respondent is meant.
